These Terms of Service ("Terms") govern your access to and use of the FleetProxy website, dashboard, API and proxy network (together, the "Service"), operated by FleetProxy ("FleetProxy", "we", "us"). By creating an account, placing an order, or sending traffic through the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and account
1.1. You must be at least 18 years old and legally able to enter into a binding contract.
1.2. You must provide accurate registration information and keep it current. Accounts registered with false identity information may be suspended without refund.
1.3. You are responsible for all activity under your account, including activity by your employees, contractors, and anyone to whom you disclose your credentials. Proxy credentials are bearer credentials: anyone holding them can consume your bandwidth and act under your account.
1.4. Notify us at [email protected] without undue delay if you believe your account or any proxy credential has been compromised. We will rotate the affected credentials on request.
1.5. One person or organisation may hold one account unless we agree otherwise in writing. Creating additional accounts to circumvent a suspension, a usage limit, or a promotional restriction is a breach of these Terms.
2. The Service
2.1. We provide access to proxy infrastructure. We do not provide, control, endorse, or take responsibility for the third-party content you access through it.
2.2. Network characteristics — pool size, geographic distribution, latency, and the availability of any individual exit address — vary continuously. Residential and mobile exits depend on peer devices that may disconnect at any time. We do not guarantee that any specific IP address, subnet, city, or autonomous system will be available at a given moment.
2.3. We target 99.9% monthly availability of the authentication gateway. Availability is measured on the gateway's ability to accept and authenticate connections, not on the success rate of any request against a third-party destination. Success rates against third parties are outside our control and are not warranted.
2.4. We may modify, add, or discontinue features. Where a change materially reduces functionality you have paid for, we will give at least 30 days' notice by email and, at your election, refund the unused portion of the affected purchase.
2.5. Scheduled maintenance is announced in the dashboard at least 48 hours in advance where practicable. Emergency maintenance may occur without notice.
3. Acceptable use
3.1. Your use of the Service is governed by the Acceptable Use Policy, which is incorporated into these Terms by reference.
3.2. You are solely responsible for determining whether your intended use is lawful in every jurisdiction that applies to you, to your users, and to the destinations you access. We do not review, approve, or advise on the lawfulness of your activity.
3.3. We may suspend or terminate access immediately, without notice, where we reasonably believe activity presents an imminent risk of harm to a third party, to the network, or to us. The enforcement process in the Acceptable Use Policy applies to all other cases.
4. Fees, payment and bandwidth
4.1. All prices are stated in US dollars and exclusive of any applicable taxes, which are added at checkout where required.
4.2. Bandwidth plans are prepaid. Purchased bandwidth is added to the relevant plan when payment settles.
4.3. Purchased bandwidth does not expire. Unused traffic remains available on an active account for as long as the account remains active and in good standing.
4.4. IP-billed products (static residential, mobile, and datacenter addresses) are billed per address per period. An address is released at the end of its paid period unless renewed, and a released address is returned to the pool and may be reassigned.
4.5. Account balance may be topped up in advance and used for later purchases. Balance is not a deposit, bears no interest, and is not transferable between accounts.
4.6. Auto-renewal, where enabled by you, charges the payment method on file on the renewal date. You can disable auto-renewal at any time in the dashboard before the renewal date.
4.7. Failed or reversed payments may result in immediate suspension of the affected plans. We may recover reasonable costs incurred as a result of a chargeback made in bad faith.
5. Refunds
5.1. Refunds are governed by the Refund Policy, incorporated by reference.
5.2. Nothing in these Terms or in the Refund Policy affects statutory rights that cannot be excluded under the consumer law applicable to you.
6. Intellectual property
6.1. We retain all rights in the Service, the website, the dashboard, the documentation, and our trade marks. Nothing here transfers ownership.
6.2. You retain all rights in the data you transmit and receive. We claim no interest in it.
6.3. You may reference FleetProxy by name in factual descriptions of your infrastructure. Any other use of our marks requires written permission.
7. Confidentiality and data
7.1. Personal data is handled in accordance with the Privacy Policy.
7.2. We do not inspect, log, or retain the content of traffic that transits the proxy network. We do meter volume and record connection metadata as described in the Privacy Policy, and we retain the records that our lawful obligations and abuse-handling process require.
8. Warranties and disclaimers
8.1. The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
8.2. We do not warrant that the Service will allow you to access any particular destination, that any destination will accept traffic from our network, or that any collection you perform will be lawful, complete, or accurate.
9. Limitation of liability
9.1. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity, however caused.
9.2. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the three months immediately preceding the event giving rise to the claim.
9.3. Nothing in this clause limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited.
10. Indemnity
10.1. You will indemnify and hold us harmless against claims, losses, and reasonable legal costs arising from your use of the Service in breach of these Terms or the Acceptable Use Policy, or from your infringement of a third party's rights.
11. Suspension and termination
11.1. You may close your account at any time from the dashboard. Closure takes effect immediately; see the Refund Policy for the treatment of unused balance and bandwidth.
11.2. We may terminate for material breach that is not remedied within 7 days of written notice, or immediately in the circumstances set out in clause 3.3.
11.3. On termination, access ceases, provisioned addresses are released, and clauses 6, 7, 8, 9, 10 and 13 survive.
12. Changes to these Terms
12.1. We may amend these Terms. Material changes are notified by email and in the dashboard at least 14 days before they take effect, and each version is retained with its effective date.
12.2. Continued use after the effective date constitutes acceptance. If you do not accept a change, close your account before the effective date and request a refund of unused prepaid bandwidth under the Refund Policy.
13. General
13.1. These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory protection available to you as a consumer in your country of residence.
13.2. You may not assign these Terms without our written consent. We may assign them to a successor in connection with a merger or sale of substantially all assets.
13.3. If any provision is held unenforceable, the remainder continues in force.
13.4. These Terms, together with the policies incorporated by reference, are the entire agreement between us regarding the Service.
13.5. Notices to us: [email protected]. Notices to you are sent to the email address on your account.
What this means
You are buying network access, prepaid, with bandwidth that does not expire. You are responsible for what you do with it and for checking that it is legal where you are — we sell the road, not the journey. We keep the lights on and do not read your traffic, but we cannot promise any particular website will let you in. If something goes badly wrong, what you can recover from us is capped at roughly the last three months of what you paid. If you break the Acceptable Use Policy, we can switch you off, and for the most serious categories we will do it immediately.
